I'd like to change a '90 240 automatic to a stick shift. I think I have all necessary parts from an '81 4-speed/overdrive including the ring and pinion. Is this a straight forward R&R job or are there some stumbling blocks to overcome?

Yeah there are a couple I don't think you've covered.
You do need the driveshaft. The 81 is fine for this piece.
The M46 has an output for a speedo cable. you need to have something in that hole to keep oil out. Some kind of plug or an end from an old speedo cable will be needed.
The flywheel has to have a ring of holes in it for the crank sensor. This is what triggers the ignition system, provides timing info and triggers the fuel pumps to run.
The 81 doesn't have that, even though mechanically the flywheel will fit fine. You need a flywheel from a 1989+ 240 or 740. May be hard to find used.
The top of the trans bell housing may have a recessed area where the crank sensor's going to be located. If so, it can be broken out. If not, you'll need to do a bit more serious work carving out a hole in the top of the bell housing. See a removed 89-up transmission, either type, for what this hole should look like.
You need the pilot bearing and clip for the end of the crank. Easy enough, get it new. You need a clutch kit and cable. Again, recommend new but good used should be fine.
You need the brake and clutch pedal from the dash of a stick shift car. I don't think there's any difference between early and late except the rubber pedal pads- but your 90 has an airbag and under-dash knee bolster, which will totally be in the way of this job. Well makes it more difficult anyway.
If you have cruise control, you'll need a switch for the clutch pedal and a bit of vacuum hose I believe. You'll also need to eliminate the start interlock (neutral safety switch) in the shifter, rig up the reverse light wiring to the trans switch, and wire up an overdrive relay to the 4th gear switch and shifter. Most of that should come from the 81 donor car but you'll have to connect it in to the 90's wiring under the dash.
With all that, it *might* be easier to sell it and buy a similar 5-speed car. Just a thought.
